These Terms of Service (“Terms”) govern your access to and use of Magentic’s website and services (“Services”). By using our Services or paying a fee, you agree to these Terms. If you are using the Services on behalf of a business, you agree on its behalf.
The Services
Magentic designs, builds, deploys and maintains AI agents and automations, and provides AI consulting and audits. Depending on the engagement, the Services include done-for-you agents deployed on Qoren, custom agents built on your own infrastructure or a platform you choose, ongoing support and maintenance, and audits.
The scope, deliverables, timeline and price of each engagement are set out in a written quote that you accept before work starts. An audit results in written recommendations: a prioritized roadmap, suggested tools, an implementation timeline, and a quote. Recommendations are advisory; implementing them is a separate engagement. We do not guarantee any specific business result, savings, or outcome.
Agents deployed on Qoren run in a Qoren account in your name, which is governed by Qoren’s own terms of service. Qoren subscription fees are billed by Qoren, separately from our fees.
Accounts
You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account. You agree to provide truthful information about your business so we can give you relevant recommendations and build what you need.
Fees and payment
Fees for each engagement are the fixed price stated in the written quote you accept. Where our website publishes a price, such as the starting price for done-for-you agents or the range for an audit, your quote confirms the final figure before any work starts. If you ask for changes to the agreed scope, we quote them in writing first, and you decide whether to go ahead; we do not bill by the hour for quoted work. Maintenance is billed as the flat monthly fee stated in your maintenance quote. Usage costs from third parties, such as AI model usage and hosting, are billed at cost or directly by the provider, as your quote states.
Fees are charged through a third-party payment processor. Any eligibility for refunds or credits will be as described to you at the time of purchase. You are responsible for any applicable taxes.
Intellectual property
Once paid for, the deliverables we create for you, such as written reports, agent configurations and code written for your engagement, are yours to use within your business, and accounts we set up for you are created in your name. We retain all rights in our underlying methods, templates, and know-how. Third-party software, models and platforms, including Qoren, remain subject to their own terms. Our website content and branding remain the property of Magentic.
Acceptable use
You agree not to misuse the Services, including by attempting to disrupt them, access them without authorization, or use them for any unlawful purpose.
Confidentiality
We treat the business information you share with us as confidential and use it only to deliver the Services, as described in our Privacy Policy.
Disclaimers
The Services are provided “as is” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Services, or the agents we build, will be uninterrupted or error-free, or that recommendations will achieve a particular result.
Limitation of liability
To the fullest extent permitted by law, Magentic will not be liable for any indirect, incidental, or consequential damages, and our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services giving rise to the claim.
Changes
We may modify the Services or these Terms from time to time. When we update these Terms we will revise the “Last updated” date on this page. Continued use of the Services after a change means you accept the updated Terms.
Governing law
These Terms are governed by the laws applicable in the jurisdiction in which Magentic operates, without regard to conflict-of-law principles.
